Venture Capital Funding

The Lewis Roca Rothgerber Christie attorneys have experience working with venture capital and private equity funds as well as start-up companies seeking venture capital funding. Our attorneys have provided legal advice to companies that have obtained significant investments from venture capitalists across the country, and internationally. Because of our representation of companies and investors, we also make introductions to funding sources and investment opportunities where appropriate. Our clients draw from our established relationships with angel investors, venture capitalists, private equity funds and investment bankers.

Our corporate transaction attorneys, particularly those focused on the emerging growth industries, have experience with venture financing transactions, dealing with both small and large venture capital investments. Our attorneys also have experience with the particular challenges associated with multi-investor groups and can assist clients in negotiating such challenges. Through our work in venture capital transactions, we keep current on the emerging trends in market terms of such financings. We advise companies and investors on alternative financing structures to suit each client’s needs as well as on issues that companies and board members should consider in various financing scenarios.

The attorneys at Lewis Roca Rothgerber Christie have corporate and securities law experience in IPO’s and mergers and acquisitions, so we are able to review and negotiate financing documents with such liquidity events in mind. Additionally, as a multi-practice law firm, we have the necessary resources to handle the substantive issues that arise during the due diligence process including review of intellectual property issues, employment matters, pending litigation, outstanding debt instruments, real estate transactions or other material agreements.

Our attorneys are actively involved in advising private equity funds on the legal matters surrounding the formation and management of these entities. We regularly assist with the creation of new private equity funds and continue to advise them as they grow.
